1. Introduction

Welcome to SuperAbility Resources ("we," "our," or "us"). These Terms and Conditions ("Terms") govern your access to and use of the SuperAbility Resources platform, website, and services (collectively, the "Platform").

By accessing or using our Platform, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Platform.

2. Acceptance of Terms

By creating an account, posting a listing, or otherwise using our services, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy.

These Terms constitute a legally binding agreement between you and SuperAbility Resources.

3. Eligibility

You must be at least 18 years old to use the Platform. By using our services, you represent and warrant that:

• You are at least 18 years of age
• You have the legal capacity to enter into these Terms
• You will comply with all applicable laws and regulations
• All information you provide is accurate, current, and complete

4. User Accounts

4.1 Account Creation

To access certain features of the Platform, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Notify us immediately of any unauthorized access to your account
• Accept responsibility for all activities that occur under your account

4.2 Account Security

You are solely responsible for maintaining the confidentiality of your account credentials. SuperAbility Resources cannot and will not be liable for any loss or damage arising from your failure to comply with this security obligation.

5. Verification Services

5.1 Verification Tiers

SuperAbility Resources offers multiple verification tiers (Standard, Gold, and Diamond). Verification indicates that we have confirmed certain information about the provider but does not constitute an endorsement or guarantee of service quality.

5.2 Verification Process

By applying for verification, you agree to:

• Submit accurate and truthful documentation
• Cooperate with our verification procedures
• Understand that verification may take 2-4 business days (or 24 hours for expedited service)
• Accept that we reserve the right to deny or revoke verification at our discretion

6. Listings and Content

6.1 User Content

You are solely responsible for all content you post, upload, or otherwise make available on the Platform ("User Content"). You retain all ownership rights in your User Content.

6.2 Content License

By posting User Content, you grant SuperAbility Resources a worldwide, non-exclusive, royalty-free, transferable license to use, reproduce, modify, adapt, publish, and display such content in connection with operating and promoting the Platform.

6.3 Content Guidelines

All User Content must:

• Be accurate and not misleading
• Comply with all applicable laws and regulations
• Not infringe upon intellectual property rights of others
• Not contain offensive, defamatory, or discriminatory material
• Not include spam, malware, or malicious code

7. Prohibited Activities

You agree not to engage in any of the following prohibited activities:

• Violating any local, state, national, or international law
• Infringing the intellectual property rights of others
• Posting false, misleading, or fraudulent content
• Harassing, threatening, or discriminating against others
• Collecting personal information without consent
• Attempting to gain unauthorized access to the Platform
• Interfering with or disrupting the Platform's operation
• Using automated systems to access the Platform without permission
• Impersonating another person or entity
• Engaging in price gouging or unfair business practices

8. Payments and Fees

8.1 Subscription Fees

Certain features and services require payment of subscription fees. All fees are:

• Stated in U.S. Dollars (USD)
• Non-refundable except as required by law
• Subject to change with 30 days' notice
• Billed on a recurring basis unless cancelled

8.2 Payment Processing

Payments are processed through secure third-party payment processors (such as Stripe). You agree to provide current, complete, and accurate payment information and to update such information promptly if it changes.

8.3 Cancellation and Refunds

You may cancel your subscription at any time. Cancellations take effect at the end of the current billing period. No refunds will be provided for partial billing periods, except as required by law.

9. Intellectual Property

The Platform and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by SuperAbility Resources, its licensors, or other providers of such material and are protected by copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Platform without our prior written consent.

10. Disclaimers

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. SUPERABILITY RESOURCES MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, AS TO:

• The operation or availability of the Platform
• The accuracy, reliability, or completeness of any content
• The quality or suitability of services listed on the Platform
• The verification status or qualifications of providers

SUPERABILITY RESOURCES EXPLICITLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10.1 No Endorsement

Verification of a provider does not constitute an endorsement, recommendation, or guarantee of service quality by SuperAbility Resources. We do not guarantee the accuracy of provider information or the quality of services provided.

10.2 Third-Party Services

SuperAbility Resources is a platform connecting users with service providers. We are not responsible for the actions, services, or conduct of any third-party providers listed on the Platform.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SUPERABILITY RESOURCES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to or use of or inability to access or use the Platform
• Any conduct or content of any third party on the Platform
• Any content obtained from the Platform
• Unauthorized access, use, or alteration of your transmissions or content

IN NO EVENT SHALL SUPERABILITY RESOURCES' TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, OR CAUSES OF ACTION EXCEED THE AMOUNT YOU HAVE PAID SUPERABILITY RESOURCES IN THE LAST SIX (6) MONTHS, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

12. Indemnification

You agree to defend, indemnify, and hold harmless SuperAbility Resources, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms
• Your use of the Platform
• Your User Content
• Your violation of any third-party rights

13. Termination

We may terminate or suspend your account and access to the Platform immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.

Upon termination:

• Your right to use the Platform will immediately cease
• All provisions of these Terms which by their nature should survive termination shall survive
• You remain liable for all obligations incurred prior to termination

You may terminate your account at any time by contacting us or using the account deletion feature within your account settings.

14. Dispute Resolution and Arbitration

14.1 Informal Resolution

In the event of any dispute arising out of or relating to these Terms, the parties agree to first attempt to resolve the dispute informally by contacting us at support@superabilityresources.com.

14.2 Binding Arbitration

If the dispute cannot be resolved informally within 30 days, you agree that any dispute shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

14.3 Class Action Waiver

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

15. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.

Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in San Diego County, California, and you hereby consent to personal jurisdiction and venue therein.

16. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect.

Your continued use of the Platform after any changes constitutes acceptance of those changes. It is your responsibility to review these Terms periodically.

17. Miscellaneous

17.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and SuperAbility Resources regarding the use of the Platform.

17.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.

17.3 Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term.

17.4 Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign our rights and obligations under these Terms without restriction.

17.5 Third-Party Beneficiaries

These Terms do not create any third-party beneficiary rights.
